Terms of Service

1.1. CHEAPWEBPRO LLC provides each of its services to you as set forth in agreements with you. References made to “TOS” are always referencing this TOS.

1.2. Use of the services certifies your agreement to follow the laws of the state of country of your residence as well as the laws of the United States (including Intellectual Property and Tax Laws).

1.3. You cannot use this service if you do not agree to this TOS.

1.4. Occasionally, we will review and modify or change or TOS without any notice to you. If you continue to use this service after the change has been posted, you have certified your acceptance of the new TOS.

1.5. The latest update to this TOS was on January 2, 2010.

YOU WILL NOT USE THIS SERVICE TO:

2.1. Break any local of federal laws (ie. Copyright, Trademark, Piracy, IP Law, etc).

2.2. Post any offensive content (ie. Pornography, Profanity, Ponzi schemes, Illegal Violence, Hacking, Phishing, Harrassment, Child Exploitation, Impersonation, Infringement, Malicious code, Network Attack, Server Degradation, etc).

2.3. Send any offensive, malicious messages, postings, IM's.

USE OF SERVICE:

3.1. You certify that the business information you provided to CHEAPWEBPRO LLC is accurate, and within 30 days of a change of information, you will update it with CHEAPWEBPRO LLC.

3.2. You agree to receive service and non-service related notices from CHEAPWEBPRO LLC.

3.3. You agree not to share password information with others.

3.4. You will be considered to be the owner of your business and any changes will require requests to be made stating the originating email address used to setup service.

3.5. You agree and understand that (i) CHEAPWEBPRO LLC retains all interest, rights, and/or title to the computer programming and code providing the service to you and (ii) you will NOT decompile or use other attempts to gain the source of the programming.

BILLING:

4.1. You certify that you will pay for the service that you select.

4.2. Payment must be made on-time to ensure uninterrupted service.

4.3. CHEAPWEBPRO LLC does not offer refunds for the service.

4.4. If there is a charge dispute, please pay the amount to insure uninterrupted service and then go to the “Client Area” of the website to dispute the amount. If the claim is valid, a credit or refund will be given to the account.

TERMS:

5.1. This TOS is effective when you click to sign up for our services.

5.2. This TOS remains effective until termination.

5.3 You may terminate service at anytime with 30 days notice to CHEAPWEBPRO LLC.

5.4. At any time CHEAPWEBPRO LLC may terminate this TOS without any without any compensation to you, and may refuse to open an account to any person or business.

5.5. CHEAPWEBPRO LLC may upon termination of the TOS delete any content related to your website.

LIMITATIONS:

6.1. CHEAPWEBPRO LLC WILL NOT BE LIABLE TO YOU FOR ANY DEFAULTS OR LIABILITY CLAIMS UNDER THE TOS TO AN AMOUNT GREATER THAN THE FEES PAID BY YOU DURING THE ONE MONTH PERIOD BEFORE THE DATE OF THE EVENT OF THE LIABILITY CLAIM.

6.2. IN NO EVENT WILL CHEAPWEBPRO LLC AFFILIATES, SHAREHOLDERS, OFFICERS, CONTRACTORS OR EMPLOYEES BE LIABLE TO YOU UNDER ANY EXEMPLARY, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMEGES (INCLUDING LOSS OF DATA, LOSS OF USE OR SERVICE INTERUPTIONS).

6.3. YOU CERTIFY THAT THESE LIMITATIONS ARE A FUNDAMENTAL ELEMENT OF THIS TOS AND THAT WITHOUT SUCH LIMITATIONS CHEAPWEBPRO LLC WOULD NOT AGREE OR ENTER INTO THIS TOS.

6.4. YOU AGREE TO INDEMNIFY PROTECT AND HOLD CHEAPWEBPRO LLC HARMLESS FROM ALL CLAIMS, LIABILITIES, LOSSES, COSTS, DAMAGES, EXPENSES, JUDGEMENTS, ETC (DIRECTLY AND INDIRECTLY) RESULTING FROM THIS SERVICE.

6.5. Nothing in this TOS shall be considered as a JV, partnership,employment, etc. between you and CHEAPWEBPRO LLC. Thus, neither party shall have the right or authority to create any obligations on behalf of the other.

6.6. THIS SERVICE COMES WITH NO WARRANTY THAT IT WILL BE FREE OF ERRORS OR BE WITHOUT INTERUPTIONS. THIS SERVICE IS PROVIDED ON AN “AS IS” BASIS. YOU UNDERSTAND AND CERTIFY THAT CHEAPWEBPRO LLC IS NOT LIABLE FOR ANY OUTAGE, OR INTERRUPTION OF THE SERVICE.

MISCELLANIOUS:

7.1. This TOS will not be assigned by you without CHEAPWEBPRO LLC's express written consent. CHEAPWEBPRO LLC may assign any/all of its obligations and rights to others at any time.

7.2. This TOS is the final expression of the agreement and may not be edited or amended.

7.3. If any portion of this TOS is determined to be unenforceable or void, the remainder of the TOS shall remain in full force.

7.4. The section headings are reference only and not useful in the interpretation of the TOS.

7.5. CHEAPWEBPRO LLC shall not be considered in default of the TOS in the event of a service interruption or delay resulting directly or indirectly from acts of God, civil or military authority, civil disturbance, strikes, war, fire, energy shortages, other catastrophes, or any circumstance beyond the control of CHEAPWEBPRO LLC.

7.6. This TOS is binding between you and CHEAPWEBPRO LLC and your successors. The laws of the state of South Carolina will govern this TOS. Any action arising out or this TOS shall be brought in the Anderson, South Carolina State Court and each party consents to the jurisdiction and location of these courts. Each party expressly disclaims application of the United Nations Convention on Contracts for the International Sale of Goods to this TOS.

7.7. Sections 1.2, 3.2, 3.5, 4.1, 4.3, 5.3, 5.5,6.1-6.6, 7.4, 7.6, and 7.7 shall survive termination of this TOS.
